Terms and Conditions

1. Purpose and Validity

These general conditions govern the use of MGP Conseils' services. Any collaboration with MGP Conseils implies full acceptance of these conditions. Service proposals are valid for thirty (30) days from the date of issuance.

2. Client Responsibilities

The client agrees to provide all necessary information, resources, and infrastructure required for the execution of the requested services. Any delay in providing these elements may impact delivery timelines.

3. Suspension and Termination

MGP Conseils reserves the right to suspend or terminate a service in the event of non-compliance with contractual obligations by the client, including non-payment. In such cases, ongoing work may be halted, and deliverables retained until payment is settled.

4. Travel Pricing

Any travel exceeding 50 km will be billed at the prevailing hourly rate in addition to other applicable fees.

5. Accommodation for Travel

When travel is required to reach the project site or requested by the client, MGP Conseils applies the accommodation rate limits established by Public Services and Procurement Canada.

  • Accommodation is chargeable for one (1) overnight stay per required day of presence on-site.​
  • Accommodation costs will be reimbursed or billed to the client based on the maximum rates established for the respective city or region, as per the current accommodation rate limits available on the Government of Canada website.​
  • If no accommodation is available within the reference rates, a justification will be provided to the client, and a reasonable alternative will be proposed.​
  • All additional costs related to accommodation, including but not limited to parking fees, Wi-Fi, meals not included, or other related expenses, will be borne by the client.​

MGP Conseils commits to optimizing costs while complying with these standards and ensuring smooth service execution on-site.

6. Modification of Services

Services are defined based on the client’s expressed needs. Any modification requested during service execution must be agreed upon in writing and may result in adjustments to deliverables, timelines, and costs.

7. Offer Revision

If undisclosed elements significantly alter the nature of the services to be provided, MGP Conseils reserves the right to revise or cancel the initial proposal.

8. Extension and Expansion

Any extension or expansion of services requiring additional resources must be approved in writing by both parties.

9. Professional Execution

MGP Conseils is committed to providing services in accordance with industry professional standards. Opinions and recommendations are provided based on best practices and engage only the professional responsibility of the assigned experts.

10. Obligation of Means

MGP Conseils is bound by an obligation of means and advice but does not guarantee specific results. The client must actively collaborate by providing the necessary information for proper service execution.

11. No Guarantee of Results

No guarantees of performance, commercial success, or operational viability are provided for deliverables. Any subsequent adaptation or modification required after delivery must be subject to a new agreement.

12. Intellectual Property and Patents

MGP Conseils cannot be held responsible for any potential violations of patents or intellectual property rights related to the services provided. It is the client’s responsibility to conduct necessary verifications.

13. Ownership Transfer

Upon completion of services and full payment, the intellectual property of the deliverables is transferred to the client, including all collected data and conducted analyses.

14. Limitation of Liability

MGP Conseils shall not be held liable for any loss of profits, indirect damages, or prejudices suffered by the client due to deliverables or delivery delays, except in cases of gross professional misconduct.

15. Responsible Use of Deliverables

The client agrees to use the deliverables in accordance with the provided recommendations and not to alter their interpretation in a way that could harm the reputation of MGP Conseils or its partners.

16. Delivery Timelines

Service completion timelines are estimates and depend on various factors, including resource and supplier availability. Any delay will be communicated to the client as soon as possible.

17. Hour Banks

Purchased hour banks must be used within six (6) months following the billing date. Unused hours after this period will be forfeited and cannot be carried forward or refunded.

18. Force Majeure

MGP Conseils shall not be held liable for delays or failure to perform due to events beyond its control, such as natural disasters, strikes, pandemics, or the unavailability of key personnel.

19. Reuse of Know-How

The know-how acquired by MGP Conseils in the course of its services may be reused in other professional contexts, subject to applicable confidentiality agreements.

20. Acceptance of Deliverables

Deliverables are deemed accepted if no written objection is received within fifteen (15) days following delivery. Any clarification requests will be handled according to an agreed-upon schedule.

21. Use of MGP Conseils' Name

The client may not use the name, logo, or brand of MGP Conseils for promotional purposes without prior written approval. Any public mention must be submitted for approval.

22. Validity of Clauses

If any provision of these terms is deemed invalid, the remaining provisions shall remain fully applicable.

23. Entire Agreement

These terms and conditions constitute the entire agreement between MGP Conseils and the client. Any modifications must be made in writing and approved by both parties.

24. Disputes and Jurisdiction

Any dispute shall be governed by the laws of the province of Quebec and submitted to the courts of the judicial district of Montreal.

25. Right to Correction

MGP Conseils reserves the right to correct any errors or omissions in these terms and conditions.

26. Legal Identity

MGP Conseils operates under the legal entity 9410-7125 Québec Inc.
